Terms of Service

To access most features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate.
• Maintain the confidentiality of your password and restrict access to your account.
• Notify us immediately at support@outrankgeo.com if you suspect unauthorized use of your account.

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized access to your account caused by your failure to keep your credentials secure.

Access to the Service requires a paid subscription. By subscribing, you authorize us to charge the applicable fees to your payment method on a recurring basis through our payment processor, Stripe.

• Billing cycle: Fees are charged in advance on a monthly or annual basis, depending on your selected plan.
• Price changes: We may change subscription fees with at least 30 days' notice. Your continued use of the Service after a price change takes effect constitutes your agreement to the new fees.
• Refunds: Subscription fees are non-refundable except as required by law or expressly stated in a separate agreement. Unused portions of a subscription period are not refunded upon cancellation.
• Taxes: You are responsible for all applicable taxes. We will collect taxes where required by law.
• Unpaid invoices: If payment fails, we may suspend or terminate your account after reasonable notice.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Scrape, crawl, or use automated means to access the Service other than through our supported APIs.
• Upload or transmit viruses, malicious code, or any content designed to disrupt, damage, or gain unauthorized access to systems.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Attempt to gain unauthorized access to any portion of the Service or its related systems.
• Use the Service in a way that could damage our reputation or the reputation of OUTRANKgeo.
• Resell, sublicense, or commercially exploit the Service or its outputs without our prior written consent.

We reserve the right to suspend or terminate accounts that violate this section, without prior notice.

"User Content" means any brand names, keywords, configurations, and other data you submit to or through the Service.

You retain all ownership rights in your User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely to provide and improve the Service for you.

You represent and warrant that you have all necessary rights to submit your User Content and that it does not infringe any third-party intellectual property rights or violate any applicable law.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any defects will be corrected. Scan results reflect the responses of third-party AI systems at the time of the scan and are not guaranteed to be accurate, complete, or up to date.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OUTRANKGEO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

You may cancel your account at any time by accessing your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, if you breach these Terms or if we cease to operate the Service. Upon termination, your license to use the Service will immediately cease.

Sections 6 (User Content ownership), 7 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) survive any termination of these Terms.

These Terms and any dispute arising out of or relating to them or the Service shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Any legal action or proceeding relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of those courts.

You and OUTRANKgeo agree to resolve disputes on an individual basis only. Neither you nor OUTRANKgeo will bring a class action, class arbitration, or other representative proceeding against the other.
